Company Sale Fee Structure

Our Company sale fee structure is summarised below but we are happy to discuss a prospective client's particular requirements with regard to the fee structure outlined.

  • An initial retainer which covers all the agreed work carried out by Alaris up to the point at which Heads of Agreement (the outline terms of the deal prior to due diligence) are agreed between our client and the preferred purchaser;
  • A Heads of Agreement fee at the point at which heads of terms are reached;
  • The transaction fee, which is wholly contingent on completion of the deal. This fee represents the majority of our fees and is charged as a percentage of the consideration achieved. Depending on our client's requirements, the transaction fee can also include a performance-based ratchet as an additional motivation to obtain the best possible terms.

All our fee arrangements are subject to formal contract and are agreed with the client and confirmed in writing in advance.

 

VAT is chargeable on all our fees, except that provided the ultimate transaction is a sale or acquisition of shares, the transaction fee should be VAT-exempt. The business VAT number is GB 833 0809 41.

 

 

Exit Strategy & Planning Service

 

The Exit Strategy & Planning Service comprises three stages.  Stage 1, the Initial Exit and Strategy Planning Review, is provided on a complimentary basis. Alaris would, on request, provide a formal fee proposal for delivery of Stages 2 and 3 (Agreeing Planning Priorities and Implementation Plan and Plan Implementation) for the consideration of the owners and Directors. 

 

 

Company Valuation Service

A full valuation report for each operating company would be subject to a fee of £750 plus VAT. The Company Valuation Service is intended for UK businesses with an annual turnover of £1 million or greater.
